Terms of Service

By accessing or using SeoNexus (available at app.seonexus.ai), you agree to be bound by these Terms of Service and all applicable laws and regulations. These terms constitute a legally binding agreement between you and Nikat Solutions Private Limited.

If you do not agree with any part of these terms, you must not access or use the service. Accessing or using any part of the service indicates your acceptance of these terms.

SeoNexus is a Software-as-a-Service (SaaS) platform designed to help businesses and individuals monitor and improve their search engine visibility. The platform provides:

• Keyword rank tracking across major search engines
• Search engine results page (SERP) monitoring and analysis
• Google Search Console integration and data visualisation
• Site auditing with PageSpeed Insights and technical SEO analysis
• Backlink discovery, monitoring, and quality scoring
• Google Indexing API management and bulk URL submissions
• Local SEO tracking, geo-grid rank analysis, and Google Business Profile integration
• Content analysis and SEO optimisation suggestions
• Competitor keyword and ranking analysis
• AI task recommendations and SEO insight analysis
• Automated report generation, scheduling, and PDF export
• Multi-tenant workspaces with white-label branding
• Team management with role-based permissions
• Webhook integrations and RESTful API access

We reserve the right to add, modify, or remove features at any time, with reasonable notice where material changes affect core functionality.

To access SeoNexus you must create an account. When creating your account you agree to the following:

• You will provide accurate, current, and complete information during registration and keep it up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must be at least 18 years of age to create an account and use the service.
• Each person or organisation is entitled to one account. Creating multiple accounts to circumvent plan limitations is prohibited.
• You must notify us immediately at [email protected] if you become aware of any unauthorised access to your account.

You agree to use SeoNexus only for lawful purposes and in a manner consistent with these terms. The following activities are strictly prohibited:

• Using the service for any illegal purpose or in violation of any applicable local, national, or international law or regulation.
• Attempting to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the platform.
• Sending excessive automated requests that overload or disrupt the service or its underlying infrastructure.
• Scraping, harvesting, or systematically downloading data from the platform for redistribution or resale.
• Sharing, selling, or transferring your account credentials to third parties.
• Using the service to transmit malware, viruses, or any other harmful software.
• Attempting to gain unauthorised access to any part of the service or its related systems.

All content, features, functionality, design, branding, software, and underlying technology of SeoNexus — including but not limited to text, graphics, logos, icons, and source code — are owned by or licensed to Nikat Solutions Private Limited and are protected by applicable intellectual property laws.

Your data: Users retain full ownership of the data they input into the platform, including domains, keywords, and configuration settings. We do not claim ownership over your data.

Generated exports: Reports, exports, and data downloads generated by the platform using your data may be used freely by the account holder for any lawful business purpose.

You may not reproduce, distribute, modify, or create derivative works of any part of the SeoNexus platform without prior written consent from Nikat Solutions Private Limited.

SeoNexus offers the following billing arrangements:

• All plans include a 15-day free Agency trial. Feature and usage limitations vary by plan as defined on the pricing page.
• Paid subscription plans are billed on a monthly or annual cycle, depending on the plan selected at checkout.
• All paid subscriptions renew automatically at the end of each billing period using the payment method on file, unless you cancel before the renewal date.
• All invoices are due upon receipt. Access to paid features may be restricted if payment is not received.
• All fees are exclusive of applicable taxes, including GST, VAT, or other indirect taxes. Where such taxes apply, they are the responsibility of the subscriber and will be added to the invoice as required by law.
• Prices are subject to change. We will provide at least 30 days' advance notice of any price changes via email or in-app notification.
• All fees paid are non-refundable. When you cancel, your subscription will remain active until the end of the current billing period and no further amounts will be collected thereafter.
• Plan downgrades take effect immediately at the time of the change. No refund or credit will be issued for the difference between the previous plan and the downgraded plan for the remaining portion of the current billing period.
• Persistent non-payment may result in account suspension or termination at our discretion.

Your use of SeoNexus is also governed by our Privacy Policy, which is incorporated into these Terms of Service by reference.

• We process your data solely to provide, maintain, and improve the service.
• User data remains the property of the user at all times.
• You may export your data at any time through the account settings or by contacting support.
• Upon account deletion, your data will be purged in accordance with our data retention policy described in the Privacy Policy.

We aim to keep the service available and reliable, but we do not offer a service level agreement (SLA) and do not warrant or guarantee uninterrupted, error-free, timely, or continuous availability of the service.

• Scheduled maintenance windows will be communicated in advance via email or in-app notification wherever possible.
• Emergency maintenance may be performed without prior notice to protect platform security or stability.
• We reserve the right to modify, suspend, or discontinue any feature or aspect of the service with reasonable notice.
• We are not liable for any losses arising from service unavailability, degradation, or interruption, including events beyond our reasonable control such as failures of internet infrastructure, cloud hosting providers, third-party APIs, natural disasters, government actions, or other force majeure events.

The service is provided on a strict “as is” and “as available” basis. Nikat Solutions Private Limited makes no warranties or representations of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

• Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
• Any warranty that the service will be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, or completeness of any data, rankings, audit results, backlink information, or other output provided by the service.
• Any warranty that the service will meet your specific requirements or expectations.
• Any warranty regarding the results that may be obtained from the use of the service.
• Any warranty or guarantee that use of the service will result in improved search engine rankings, higher website traffic, increased revenue, better business outcomes, or any other specific commercial result.

You expressly acknowledge and agree that your use of the service is at your sole risk. Any material downloaded or otherwise obtained through the use of the service is accessed at your own discretion and risk.

Search engine rankings, traffic, and business results depend on many factors outside our control — including search engine algorithm changes, competitor activity, and your own content, technical setup, and marketing decisions. We make no promises about any specific outcome from the use of SeoNexus.

To the maximum extent permitted by applicable law, Nikat Solutions Private Limited, its directors, officers, employees, affiliates, agents, and licensors shall not be liable for any damages whatsoever, including but not limited to:

• Any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the service.
• Loss of profits, revenue, business, savings, data, goodwill, or other intangible losses — even if we have been advised of the possibility of such damages.
• Damages resulting from the accuracy, timeliness, or completeness of keyword rankings, SERP data, site audit results, backlink data, or any other information provided by the service.
• Damages resulting from unauthorised access to or alteration of your data or transmissions.
• Damages arising from any third-party services, including but not limited to Google APIs, SERP scraping providers, payment processors, or email delivery services.
• Damages resulting from any bugs, viruses, errors, or inaccuracies in the service.

In no event shall our total aggregate liability to you for all claims arising from or related to the service exceed the lesser of (a) the total fees actually paid by you to SeoNexus in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD $100).

The limitations and exclusions in this section apply regardless of the theory of liability, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Nikat Solutions Private Limited has been informed of the possibility of such damage.

You agree to indemnify, defend, and hold harmless Nikat Solutions Private Limited, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or access to the service.
• Your violation of these Terms of Service.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Any content or data you submit, post, or transmit through the service.

Either you or Nikat Solutions Private Limited may terminate your account at any time.

• You may cancel your subscription at any time through the account settings page or by contacting support. Cancellation takes effect at the end of your current billing period, and no further charges will be made after that.
• Amounts already paid are non-refundable, including for any unused portion of a monthly or annual billing period.
• We reserve the right to suspend or terminate accounts that violate these Terms of Service, without prior notice in cases of serious breach.
• Upon termination, your data will remain available for export for a period of 30 days, after which it will be permanently deleted.
• All provisions of these terms that by their nature should survive termination — including ownership, warranty disclaimers, and limitations of liability — will survive.

These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India. By using the service, you irrevocably consent to the jurisdiction of such courts.

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by:

• Sending an email notification to the address associated with your account.
• Displaying a prominent notice on the SeoNexus website or application.

Your continued use of SeoNexus following the posting of revised terms constitutes your acceptance of those changes. If you do not agree to the updated terms, you must discontinue use of the service.
